am I reading this wrong?
"Section 4.3. Term - each officer shall hold offlice for one year and until a successor is elected and qualified, or until the death, resignation or removal or disqualification."
1 year term right?

With the adoption of these bylaws there will be only the following:president, treasurer, secretary and vice president
I also understand that the other board positions will have to resign for this to go into effect.
Then an election needs to be held at the Annual meeting.
I don't think elections have been announced, are you guys planning on announcing this?

It is my understanding that we have 3 positions currently on the board that are optional per the new by laws and the board has been contemplating adding new ones like shop manager or other things. On this subject I would like to see the additional positions (not president,vice,treas,secretary) voted on by the members to see if the members want them.

I'm not sure if you are seeing the distinction between the board and officers. One term is 3 years, officers I believe, but the board term is 1 year if I'm remembering correctly. The board selects officers currently, and in the new bylaws too, I believe.
Please check the new bylaws, but that's my understanding.

on the unanimous action without a meeting- here's my understanding from speaking to our lawyer.
this is from statute, and it's in there NOT to make it easy for things to happen without a meeting, but to ensure that action without a meeting is presented to every involved party.
the thought process being that if something is a no brainer and needs approval, everyone will sign off, but rather than have a petition circulate that not everyone is told about become binding, a meeting would be called and everyone notified of what's being proposed. it's to protect the minority in the membership from being blindsided.
